Project Quotations and Agreements
Quotations
All project quotations are valid for 30 days from the date of issue unless otherwise specified. Quotations are based on the information provided and may be subject to adjustment based on site conditions, material costs, or regulatory requirements.
Project Agreements
Upon acceptance of a quotation, a formal project agreement will be executed outlining the scope of work, timelines, payment terms, warranties, and other relevant conditions. The project agreement takes precedence over these Terms in case of any conflicts.
Changes and Variations
Any changes to the agreed scope of work must be documented in writing and may result in adjustments to the project timeline and cost. We reserve the right to decline requested changes that compromise safety, regulatory compliance, or project feasibility.
Payment Terms
Payment Schedule
Payment terms will be specified in the project agreement and may include advance payments, progress payments, and final payments. Generally:
- 30-50% advance payment upon project commencement
- Progress payments based on project milestones
- Final payment upon project completion and handover
Late Payments
Late payments may incur interest charges at a rate of 1.5% per month. We reserve the right to suspend work on projects with overdue payments and may require full payment before resuming work.
Payment Methods
We accept payments via bank transfer, check, or other methods as agreed upon. All payments should be made in Bahraini Dinars unless otherwise specified.
Project Execution and Timelines
Project Timeline
Project timelines are estimates based on standard conditions and may be affected by factors beyond our control, including weather conditions, material availability, regulatory approvals, and client-provided information. We will make reasonable efforts to meet agreed timelines but cannot guarantee them.
Site Access and Preparation
Clients are responsible for providing safe access to the project site and ensuring that the site is prepared according to our specifications. Any delays caused by site access issues may result in timeline adjustments.
Permits and Approvals
Clients are responsible for obtaining all necessary permits, approvals, and permissions required for the project. We will assist with technical documentation and may apply for permits on the client's behalf at an additional cost.
Warranties and Liability
Warranties
We provide warranties on our workmanship and installed materials as specified in the project agreement. Warranty periods typically range from 1-5 years depending on the service type. Warranties are subject to proper maintenance and usage as per manufacturer guidelines.
Limitation of Liability
Our liability for any damages, losses, or claims arising from our services is limited to the total value of the project or the amount covered by our insurance, whichever is less. We are not liable for indirect, consequential, or incidental damages.
Insurance
We maintain appropriate insurance coverage including public liability, workers' compensation, and professional indemnity insurance. Clients may request to be added as interested parties to our insurance policies for the duration of the project.
Health, Safety, and Environment
We are committed to maintaining the highest standards of health, safety, and environmental protection. All our work complies with Bahrain's health and safety regulations and industry best practices. We expect clients to provide a safe working environment and cooperate with our safety requirements.
Intellectual Property
All designs, drawings, specifications, and other intellectual property created by us remain our property unless otherwise agreed in writing. Clients are granted a license to use project-related intellectual property solely for the intended project purposes.
Confidentiality
We maintain strict confidentiality regarding client information, project details, and business matters. Confidential information will not be disclosed to third parties without explicit consent, except as required by law or for project execution purposes.
Termination
By Client
Clients may terminate a project by providing written notice. Termination fees may apply based on work completed and costs incurred up to the termination date.
By Green Life Company
We reserve the right to terminate a project if the client breaches these Terms, fails to make payments, or if project conditions become unsafe or unfeasible. We will provide reasonable notice and settle accounts for work completed.
Dispute Resolution
Any disputes arising from our services or these Terms will be resolved through good faith negotiations. If negotiations fail, disputes will be subject to the exclusive jurisdiction of Bahrain's courts, and Bahraini law will apply.
Force Majeure
We are not liable for delays or failures in performance caused by events beyond our reasonable control, including natural disasters, government actions, material shortages, or other force majeure events.
Governing Law
These Terms are governed by the laws of the Kingdom of Bahrain. Any legal action or proceeding arising under these Terms will be brought exclusively in the courts of Bahrain.
Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
Entire Agreement
These Terms, together with the project agreement and any other written agreements between the parties, constitute the entire agreement between you and Green Life Company regarding our services.
